Health Quest and Western Connecticut Health Network are combining organizations and creating a innovative new health system to provide community members across the Hudson Valley and western Connecticut with more convenient, accessible, affordable care. Is this a merger?

No, this is not a merger. In a merger, two entities become one, and the other entity ceases to exist.
In this case, Health Quest (HQ) and Western Connecticut Health Network (WCHN) are coming together to create a new innovative health system. From a legal perspective, we are creating a new parent company – yet to be named – which will be the parent of both HQ and WCHN. Neither system is acquiring the other, but instead coming together as equals and combining to create the new company. The new parent company will be governed by a board with equal representation – eight members from HQ's board and eight members from WCHN's board.

Health Quest and Western Connecticut Health Network are two vibrant, financially sound, nonprofit organizations. Nationally, the healthcare industry is changing and we continue to navigate through a very challenging environment – rising costs, declining reimbursements, and the shift to population health and value-based care. As the industry transforms, we must rethink our strategies and identify the best ways to keep our communities healthy while improving care and reducing costs. We are constantly on the lookout for new opportunities and engaging in conversations with potential partners.
